Vitality Acquires Icario, Thatch Raises $108M & More Industry News

Recent employee benefits industry news puts more options within employers’ reach, from hybrid health coverage to retirement plans built into payroll. Acquisitions and fresh funding are also changing the companies behind those services.
In This Post:

Employers heading into renewal season have more choices than they did a month ago, and bigger companies are behind them.

September delivered a hybrid health coverage model from Gravie, fresh capital for Thatch’s individual coverage platform, and a 401(k) built directly into Deel’s payroll. Meanwhile, acquisitions reshaped health engagement and hiring technology, capped by a $7.7 billion brokerage buyout.

The employee benefits industry news below covers what each announcement means for employers and their advisers.

Vitality Acquires Icario and Expands Google Partnership

Vitality announced its acquisition of Icario on September 3, expanding its reach into U.S. health plans and the members they serve.

The transaction closed on September 1 and includes $27 million upfront and up to $32.5 million in contingent payments, for a maximum consideration of $59.5 million.

Icario specializes in reaching members who may be disconnected from their health plans and encouraging them to take action. Vitality plans to connect that outreach to its ongoing behavior-change programs, so that an initial response can lead to continued participation in care.

The combined organization will serve 19 million members and 30% of U.S. health plans, including eight of the ten largest.

“Health plans have invested billions in identifying risk, but this is only valuable if members take action,”said Maia Surmava, CEO of Vitality U.S.

The acquisition follows Vitality’s purchases of Ramp Health and WellSpark, which added onsite services and virtual coaching to its offering.

On September 17, Vitality also expanded its partnership with Google to bring Vitality AI to U.S. health plans and employers, offering personalized health guidance and incentives to encourage healthier behaviors.

Deel Brings 401(k) Plans into Its Payroll Platform

In a late-August launch, Deel introduced Deel Retirement in the United States, with plans from two providers, Human Interest and Basic Capital, embedded in its platform.

The announcement puts retirement administration alongside payroll. Employers can manage enrollment and reconcile contributions within Deel, and changes to an employee’s contribution rate are automatically reflected in payroll.

“At Deel, our goal is to dismantle those silos,” said Nick Thomson, General Manager of Deel Benefits, describing an industry that has long kept payroll, retirement, and benefits in disconnected systems.

For employers comparing 401(k) providers, the launch signals that payroll platforms increasingly want to own the benefit itself, not just the integration.

Gravie Launches Edge, Combining ICHRA and Level-Funded Coverage

On September 3, Gravie launched Edge, a first-of-its-kind health benefits program that lets employers offer both an Individual Coverage Health Reimbursement Arrangement (ICHRA) and level-funded coverage within a single coordinated program.

The model allows employers to use different coverage arrangements for different parts of their workforce, with Gravie coordinating administration and support.

“We heard from our clients and the market that the one-size-fits-all approach doesn’t work,“ said Steve Wolin, CEO of Gravie.

For HR teams, the practical change is the ability to manage both arrangements with a single provider. Brokers can work with Gravie to model which approach best fits each employee group before implementing the program.

Edge is aimed at small and midsize employers whose workforce needs may be difficult to accommodate with a single coverage model.

Harver Acquires Symphony Talent

On September 17, Harver announced that it had acquired Symphony Talent.

The acquisition joins Harver’s predictive assessments and reference-checking tools with Symphony Talent’s recruitment marketing and candidate relationship management capabilities. Together, the companies serve more than 1,500 clients worldwide.

The combination is intended to connect how employers attract applicants with how they assess candidates.

For recruiting teams, that would bring recruitment spending more closely in line with hiring outcomes. The announcement also places fraud detection and skills matching within the combined offering.

Financial terms were not disclosed in the announcement.

Thatch Raises $108 Million to Expand Its Health Benefits Platform

On September 15, Thatch announced a $108 million Series C at a $1 billion valuation.

The funding will support improvements to member guidance and additional connections with carriers and payroll platforms. Participants included The General Partnership and Index Ventures, alongside strategic investors such as Eli Lilly and Company, and Paychex.

Thatch lets employers set health budgets that employees use to select their own insurance. Remaining funds can cover eligible healthcare expenses through its platform.

The company reports that it now serves more than 5,000 employers.

Since its 2025 Series B, Thatch has added direct signups through Gusto, Justworks, and Paychex, deepened its integration with ADP‘s RUN platform, and launched Thatch Market, where employees can use their budgets on additional health services.

HiBob Secures $166 Million in Salesforce-Led Investment

Funding in HR technology extended beyond health benefits. On September 1, HiBob, the company behind the Bob people management platform, announced an investment led by Salesforce, with participation from Farallon.

The $166 million round valued HiBob at more than $3.2 billion, according to Bloomberg.

HiBob plans to make workforce information available to AI tools across business applications. The company says reliable data on reporting relationships and permissions will help those tools act appropriately within an organization.

The investment also builds on HiBob’s integration with Slack.

The Baldwin Group Agrees to a $7.7 Billion Take-Private Deal

On September 14, The Baldwin Group announced an agreement to go private through a majority investment by Sequence Holdings and DFO Management, Michael Dell’s family investment office.

The transaction carries an enterprise value of approximately $7.7 billion. Baldwin provides insurance and employee benefits services and ranks as the 15th-largest broker of U.S. business.

“Our vision and strategy are not changing,” said CEO Trevor Baldwin, adding that private ownership would accelerate the pace of investment in talent and technology.

The deal is expected to close in the first quarter of 2027, subject to shareholder and regulatory approvals and other customary conditions. Baldwin remains publicly traded until the transaction is completed.

More Coverage Options, Broader Platforms

The practical takeaway from September is that the next renewal conversation has more moving parts. Hybrid programs and individual coverage give benefits teams genuine alternatives to renewing the same group plan, and rising costs strengthen the case for pricing them out.

At the same time, the companies selling those alternatives are combining into broader platforms. That can mean fewer vendors to manage and fewer gaps between services, but only where the connections work as promised.

For buyers, the useful question at evaluation time is what a platform’s breadth actually changes: the cost or the administration.
